Pemberton supports ActivumSG Fund’s add-on acquisition of Danish residential construction contractor and developer KPC

Overview

Pemberton, a leading alternative credit specialist, has provided financing to support the add-on acquisition of KPC Holding A/S, one of Denmark’s leading turnkey contractors and project developers, by a fund overseen by private equity real estate investment manager ActivumSG Capital Management.
On completion of the acquisition, ActivumSG will merge KPC with its fund’s CASA ApS platform to form the largest residential-focused construction and development company in Denmark1,2.

CASA is a Danish property developer and turnkey contractor founded in 2006. With offices in Horsens and Copenhagen, CASA has nearly 300 employees specialised in turnkey contracts, the development of construction projects and project management. In March 2022, the company reported it had generated 3 billion Danish kroner (€404 million) of revenue last year and outlined its ambition to achieve sustainability certification for all the residential and office buildings it delivers in the future.
KPC was founded in Herning in 1979 and employs a highly skilled team of nearly 150 engineers, designers and construction technicians. It specialises in the design and construction of offices and residential buildings, with a particular focus on technical installations and architecture. In recent years, KPC established its own development team to manage its own projects.

Pemberton supported the acquisition of KPC through its Strategic Credit strategy, following the financing provided for ActivumSG’s acquisition of CASA in 2021.

1The deal is subject to approval by the Danish Competition and Consumer Authority.
2Based on Pemberton’s due diligence reports.

The add-on acquisition of KPC to the CASA platform is a great example of how Pemberton supports its partners’ portfolio companies with additional capital to grow their business and become market leaders. We look forward to supporting the CASA platform’s growth as it becomes the most important fully integrated contractor and developer in Denmark’s fast-growing residential market, and to partner again with ActivumSG.

– Nils Weber, Managing Director at Pemberton

Pemberton has been a great finance partner for us because of its longer-term view on supporting our plans to scale up the platform in Denmark. Its financing of the CASA acquisition last year meant it was the natural partner to work with on the add-on acquisition of KPC.

– Johannes Vielberth, Director at ActivumSG and Chairman of the Boards of CASA and KPC
